We are seeking direct investors who believe in our project and are looking to either:
CURRENTLY OPEN: Make a direct pre-seed round investment, capped at $350,000, in our real estate development company, Rainbird Development Co, Benefit LLC, to complete extensive project due diligence, and/or
Make a direct seed round investment, capped at $1,000,000, upon completion of the pre-seed round, to secure options on multiple contiguous parcels within the Qualified Opportunity Zone.
We will provide membership units to all investors as well as all the transparency and reporting required by law.
Direct Investment Exit Strategy:
Exit 1: Upon closing on the land, we will have obtained non-recourse financing and will pay back all direct investment capital as well as any accrued (non-compounded) earnings at a preferred rate.
Exit 2: Members will have the option to stay to accrue ongoing earnings for years to come until sale of the land and all improvements to Rainbird Village municipality.
Additionally, we intend to scale our village model by replication to other locations. Rainbird Village will be only the first of many such regenerative villages. The center of our country is ripe for regeneration, and it is our aim to be a catalyst for revitalization of rural American.

Qualified Opportunity Fund Investment
We are also seeking to raise $235M in capital gains investments into Rainbird Development Co, Benefit LLC, a Qualified Opportunity Fund, which will be acquiring land in a specific Qualified Opportunity Zone and developing all improvements for Rainbird Village. Rainbird Development Co. is a single site-specific opportunity fund. It is not a managed fund and your entire investment will go toward the project.
If you roll your capital gains in our QOF, the first benefit is your ability to shelter any capital gains from taxation for 5 years, whereupon your capital gains tax liability, due on April 15, 2027, will be reduced by 10%. In the likely event that QOZ legislation is extended (See: Article), after 7 years your capital gains liability would be reduced by 15%.
Maintaining your QOF investments for 10 years will continue to accrue tax-free earnings, ensures the maximum fair market value step-up in basis, and, if QOZ legislation is extended, reduce your capital gains tax liability on the appreciation to 0%.
